1. Acceptance of Terms

By accessing or using SEOLFUL ("the Service"), operated by Shoptalk Business Solutions, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

SEOLFUL is a SaaS tool that automates the generation, review, and publishing of SEO meta titles and descriptions for WordPress, WooCommerce, and Shopify websites. The Service includes:

• Content extraction from connected CMS platforms
• AI-powered meta title and description generation
• SEO scoring and keyword tracking
• Review and editing tools
• Publishing capabilities to connected CMS platforms

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Google Sign-In

When using Google Sign-In, you agree to comply with Google's API Services User Data Policy and Google APIs Terms of Service.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Share your account credentials with others
• Use the Service to generate content that is illegal, harmful, or violates third-party rights

5. CMS Connections

5.1 Connection Credentials

You are responsible for maintaining the security of your CMS connection credentials. We store these credentials encrypted and use them only to provide the Service.

5.2 Authorized Access

By connecting a CMS platform, you represent that you have the authority to grant us access to that platform and that such access does not violate any agreements or policies.

5.3 Publishing

You are responsible for reviewing all generated content before publishing. We are not liable for any content published to your CMS platforms through the Service.

6. Intellectual Property

6.1 Service Ownership

The Service, including all software, designs, and content, is owned by SEOLFUL and protected by intellectual property laws.

6.2 Your Content

You retain ownership of all content you provide to the Service. By using the Service, you grant us a license to use, store, and process your content solely to provide the Service.

6.3 Generated Content

Generated meta titles and descriptions are created using AI technology. You are responsible for ensuring generated content does not infringe on third-party rights.

7. Payment and Billing

7.1 Payment Methods

All payments are processed securely through Razorpay, our authorized payment gateway partner. We accept various payment methods including credit cards, debit cards, net banking, UPI, and digital wallets. International payments are accepted in multiple currencies and automatically converted to INR for settlement.

7.2 Pricing and Fees

Our pricing is displayed in Indian Rupees (INR). For international customers, prices may be displayed in local currency based on real-time exchange rates. You agree to pay:

• Subscription fees for monthly/annual plans
• Credit pack purchase fees
• Any applicable taxes (including GST for Indian customers)
• Transaction fees and currency conversion charges (as applicable)

7.3 Billing Cycle

Subscription fees are charged in advance on a monthly or annual basis, as selected during signup. Credit pack purchases are one-time payments that add credits to your account immediately upon successful payment.

7.4 Payment Authorization

By providing payment information, you authorize us to charge the specified amount to your payment method. You are responsible for ensuring your payment method is valid and has sufficient funds. If a payment fails, we may suspend your account until payment is successfully processed.

7.5 Price Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated at least 30 days in advance for existing subscribers. Price changes for new subscriptions and credit packs take effect immediately upon publication.

7.6 Refunds

Refund terms are detailed in our Refund & Cancellation Policy. Generally, fees are non-refundable once services have been provided or credits have been consumed. Exceptions may apply as specified in our Refund Policy.

7.7 Credits System

SEOLFUL operates on a credit-based system where:

• Credits are required to generate meta tags and descriptions
• Credits are included with subscription plans and can be purchased separately
• Credits do not expire for 12 months from purchase date
• Unused credits roll over month-to-month (for subscription credits)
• Credits cannot be transferred, sold, or refunded once purchased (except as per Refund Policy)

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEOLFUL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify and hold harmless SEOLFUL from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

11. Termination

11.1 By You

You may terminate your account at any time by deleting your account through the Service settings.

11.2 By Us

We may suspend or terminate your account if you violate these Terms or engage in fraudulent, illegal, or harmful activity.

11.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may delete your account data in accordance with our Privacy Policy.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.
